Terms of Service

Version 1.0.0 Effective Date: June 30, 2026 Last Updated: June 30, 2026

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you and Storefront Live, Inc. ("Storefront Live," "we," "us," or "our") governing your access to and use of the Storefront Live platform, including our mobile applications and website (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable guidelines and policies incorporated herein by reference.

If you do not agree to these Terms, do not access or use the Platform.

Storefront Live operates a marketplace that facilitates transactions between Buyers and Sellers; it is not a party to the contract of sale between a Buyer and a Seller (see Section 5.2).

IMPORTANT: THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND A CLASS-ACTION WAIVER (SECTION 19) THAT AFFECT YOUR LEGAL RIGHTS. PLEASE REVIEW SECTION 19 CAREFULLY. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 19.3.

2. Definitions

  • "User" means any individual who accesses or uses the Platform, including Buyers and Sellers.
  • "Buyer" means a User who purchases products through the Platform.
  • "Seller" means a User approved to sell products through the Platform, including Store owners and their authorized representatives.
  • "Store" means a third-party seller's store on the Platform.
  • "Content" means text, images, videos, livestreams, comments, messages, and any other materials posted on the Platform.
  • "Listing" means a product offered for sale on the Platform.
  • "Show" means a livestream selling event conducted on the Platform.
  • "Show Notes" means the conditions and disclosures displayed before and during a Show.

3. Eligibility

3.1 Age Requirement

You must be at least 18 years of age to create or hold an account on the Platform. By creating an account or using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

Individuals under 18 years of age may access the Platform only through, and under the direct supervision of, a parent or legal guardian who holds the account. The adult account holder accepts full responsibility for all activity, transactions, and obligations arising under the account, including any activity by a supervised minor. The Platform is not directed to children under 13, and we do not knowingly collect personal information from children under 13.

3.2 Misrepresentation and Minor Discovery

If we discover or have reason to believe that an account holder is under 18 years of age or has misrepresented their age:

  • The account will be suspended;
  • Any pending transactions may be canceled;
  • Any funds held will be returned to the appropriate parties;
  • The account may be terminated; and
  • Personal data will be handled in accordance with our Privacy Policy.

Users who misrepresent their age may be permanently banned from the Platform.

3.3 Geographic Restriction

The Platform is available only to users located in the United States with valid U.S. shipping addresses. Sellers must be based in the United States.

3.4 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. Account Registration and Security

4.1 Account Creation

To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Account Types

The Platform supports the following account types:

  • Buyer Accounts: For users who purchase products
  • Seller Accounts: For approved users who sell products through Stores

4.3 Seller Approval

Seller accounts require application and approval. Approval is subject to identity verification (see Section 6.5) and review of application materials. We reserve the right to approve or deny any seller application at our sole discretion.

4.4 Account Security

You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss arising from unauthorized use of your account where you have failed to safeguard your credentials.

4.5 Account Deletion

Buyers may delete their account at any time through the app settings. Sellers may request account deletion by contacting us at reachout@storefrontlive.com. Account deletion initiates a soft-deletion period, after which your account and associated personal data will be permanently deleted, except as required by law or as described in our Privacy Policy. Outstanding payment obligations and pending transaction responsibilities survive account deletion.

5. Platform Services

5.1 Marketplace Services

The Platform provides a marketplace where Sellers can offer products for sale to Buyers through:

  • Livestream Shows with real-time purchasing
  • Live bidding auctions during Shows
  • Giveaways conducted during Shows (see Section 6.7)

5.2 Platform Role

Storefront Live is a marketplace and payment-facilitation platform that connects Buyers and Sellers. Sellers — not Storefront Live — are the sellers of record for items listed and sold on the Platform, and the contract of sale for any item is between the Buyer and the Seller. Storefront Live does not take title to items offered by Sellers. Where Storefront Live or an affiliated entity offers its own inventory for sale, it does so as a participating Seller subject to these Terms.

5.3 Seller Vetting

We apply seller screening and quality standards designed to maintain an elevated and trustworthy marketplace. Seller screening is not a guarantee of the authenticity, quality, legality, or safety of any item; Sellers remain solely responsible for the items they list and sell. Buyer remedies for items that are not as described, counterfeit, damaged, defective, expired, or incomplete are provided through our Buyer Protection Policy.

5.4 Bundling

The Platform offers bundling functionality that allows Buyers to combine purchases from a single Show to save on shipping costs. Bundling is available only for items purchased during the same Show.

6. Seller Terms

6.1 Seller Obligations

As a Seller, you agree to:

  • Comply with all applicable laws and regulations;
  • Provide accurate product descriptions and images;
  • Ship orders within 3 business days of purchase;
  • Respond to Buyer order-related inquiries within 24 hours;
  • Maintain a seller rating of 4.5 stars or above; and
  • Follow all Platform guidelines and policies, including the Seller Guidelines and Community Guidelines.

6.2 Listing Requirements

All listings must include:

  • At least one clear product photo;
  • An accurate product description;
  • A size chart (where applicable); and
  • Accurate pricing and quantity.

6.3 Prohibited and Regulated Items

Prohibited Items. Sellers may not list or sell the following. This list is not exhaustive; we may remove any item we determine is inappropriate or unlawful.

Weapons and Dangerous Items

  • Firearms, ammunition, and firearm parts
  • Knives designed as weapons (switchblades, throwing knives)
  • Explosives, fireworks, and incendiary devices
  • Pepper spray, tasers, and self-defense weapons
  • Brass knuckles, batons, and martial arts weapons

Drugs and Controlled Substances

  • Illegal drugs and narcotics
  • Prescription medications
  • Drug paraphernalia (pipes, bongs, rolling papers)
  • Substances marketed as "legal highs" or synthetic drugs

Counterfeit and Infringing Items

  • Counterfeit products bearing unauthorized trademarks
  • Replica designer goods (bags, watches, clothing)
  • Bootleg media (DVDs, software, music)
  • Items that infringe copyrights, patents, or trademarks

Unsafe, Recalled, and Hazardous Items

  • Recalled products, or products subject to a government or manufacturer recall
  • Flammable liquids and gases
  • Toxic chemicals and poisons
  • Radioactive materials

Adult and Explicit Content

  • Pornographic materials
  • Sex toys and adult novelties
  • Explicit imagery or videos
  • Items depicting nudity intended for sexual purposes

Tobacco and Alcohol

  • Cigarettes, cigars, and loose tobacco
  • Vaping devices and e-liquids
  • Alcoholic beverages
  • Items promoting underage tobacco or alcohol use

Gambling

  • Lottery tickets and scratch cards
  • Casino chips (except as collectibles with no cash value)
  • Gambling devices and equipment

Other Prohibited Items

  • Stolen property
  • Items promoting hate, violence, or discrimination
  • Human remains or body parts
  • Live animals
  • Government-issued IDs and official documents
  • Items that facilitate illegal activity

Regulated Categories. The listing, sale, and distribution of certain items are subject to federal, state, and local regulation. Sellers are solely responsible for complying with all applicable laws when listing items in regulated categories, including (without limitation) children's products, cosmetics and personal-care products, food and drug products, medical devices, and any item subject to a recall. We may require documentation of compliance and may remove any listing that does not meet applicable legal requirements.

Supported Categories. Storefront Live currently supports fashion, beauty, personal care, and jewelry. Available categories may change over time.

6.4 Show Notes

Sellers may use Show Notes to communicate show-specific information to Buyers, such as item conditions, final-sale designations, and other disclosures about the Show. Show Notes are informational; they do not change a Buyer's return rights or other terms set by these Terms, and may not contradict these Terms or applicable law.

6.5 Identity and Tax Verification

Before approval to sell and before receiving any payout, Sellers must complete onboarding and identity verification through our payment provider, Stripe, including the collection and verification of identity, tax, and bank-account information. Tax information is collected through Stripe's onboarding process, and tax forms (such as IRS Form 1099-K) are issued where required by law. Sellers who do not complete or maintain verification may be suspended and will not receive payouts.

6.6 Seller Performance

Seller performance is monitored based on shipping times, customer ratings, response times, and compliance with Platform policies. Sellers with ratings below 4.5 stars are subject to review. Violations and poor performance may result in enforcement actions up to and including warnings, restrictions, suspension, or termination, as further described in the Seller Guidelines and Community Guidelines.

6.7 Promotions and Giveaways

Sellers may conduct giveaways during Shows using Platform giveaway functionality, subject to the following:

  • No purchase or payment necessary. Entry into any giveaway is free and open to all eligible viewers of the Show. Giveaways may not require a purchase, payment, paid membership, or other consideration as a condition of entry.
  • Sponsor. The Seller conducting the giveaway is the sponsor and is responsible for the giveaway and for awarding and fulfilling the prize.
  • Eligibility. Giveaways are open to eligible Buyers located in the United States who meet the eligibility requirements stated for the giveaway. Giveaways are void where prohibited.
  • Winner selection. Winners are selected at random from eligible entrants using Platform functionality.
  • Compliance. Sponsors are responsible for compliance with all applicable sweepstakes and promotions laws, including any official-rules, disclosure, and state registration or bonding requirements that apply to higher-value prizes.

Storefront Live may suspend or remove any giveaway that does not comply with these Terms or applicable law.

7. Buyer Terms

7.1 Buyer Obligations

As a Buyer, you agree to:

  • Provide accurate shipping and payment information;
  • Complete payment for all purchases;
  • Communicate respectfully with Sellers and other users; and
  • Comply with all Platform guidelines and policies.

7.2 Purchasing

When you make a purchase, you are entering into a transaction with the Seller. You agree to pay the listed price plus applicable taxes and shipping costs.

7.3 Auctions

7.3.1 Binding Bids

Placing a bid on an auction item constitutes a binding and irrevocable offer to purchase at the bid amount. Do not bid unless you intend to complete the purchase. Bids cannot be retracted or canceled once placed.

7.3.2 Winning Bidder Obligation

The highest bidder at the close of the auction is obligated to complete the purchase. Failure to pay for a won auction item constitutes a breach of these Terms.

7.3.3 Auction Close

Auctions close at the time determined by Platform functionality and the Seller during the Show. Once an auction is closed, no additional bids are accepted.

7.3.4 Auction Disputes

If a dispute arises regarding the winning bidder or bid amount, Storefront Live will review available records (including livestream recordings) and make a final determination. Our decision is binding.

7.3.5 Prohibited Auction Practices

The following practices are prohibited and may result in account suspension or termination:

  • Shill bidding: Bidding on your own items or colluding to artificially inflate prices
  • Troll bidding: Placing bids with no intention to pay
  • Bid manipulation: Using multiple accounts to bid on the same item
  • Auction interference: Disrupting auctions or discouraging legitimate bids

7.4 Show Terms

By entering a Show, you acknowledge the Show Notes displayed for that Show.

7.5 Issue Resolution and Contact Authorization

If you experience a problem with an order, you may report it through the app. By submitting an order issue, return request, or claim, you authorize Storefront Live and the relevant Seller to contact you — including by telephone, email, and in-app messaging — solely for the purpose of resolving the issue you submitted. This authorization is limited to the specific issue you raised and does not authorize marketing or promotional contact.

8. Payments and Taxes

8.1 Payment Processing

All payments are processed through our third-party payment processor, Stripe. By making a purchase, you agree to Stripe's terms of service and privacy policy.

8.2 Payment Authorization

You authorize us to charge your selected payment method for all purchases, including applicable taxes and shipping costs.

8.3 Sales Tax

Storefront Live acts as a marketplace facilitator and, where required by law, calculates, collects, and remits applicable state and local sales tax on transactions made through the Platform. Sales tax is calculated and applied at the time of sale (via Stripe Tax) and shown on your receipt. Because Storefront Live collects and remits this tax as the marketplace facilitator, Sellers should not separately collect or remit sales tax on Platform transactions except as instructed.

8.4 Seller Payouts

Sellers receive payouts on a bi-weekly basis for orders that have been delivered at the time of payout. Payout terms:

  • Minimum threshold: $1,000
  • Method: ACH bank transfer only
  • Requirements: Completed Stripe onboarding, including verified identity, tax, and bank-account information
  • Deductions: Subject to applicable fees, penalties, refunds, and chargebacks

8.5 Platform Fees

Storefront Live charges platform fees (commissions) on sales. The applicable fees, rates, and partnership tier are set out in your Seller or partnership agreement and are made available to you through the Seller Dashboard. We may update applicable fees on reasonable advance notice.

8.6 Breach Penalties

The following financial penalties apply to Sellers and may be imposed in addition to other enforcement actions (including the restrictions, suspension, and termination described in Section 6.6 and the Seller Guidelines):

| Violation Type | Penalty | |----------------|---------| | Minor violations (late shipping, low ratings, policy infractions) | 10% of affected transaction value, or $10, whichever is greater | | Serious violations (fraud, counterfeit sales, repeated violations) | 20% of affected transaction value, or $20, whichever is greater |

Penalties are deducted from pending payouts or charged to your payment method on file. Penalties are in addition to any refunds, chargebacks, or other amounts owed. We may waive or reduce penalties at our sole discretion.

8.7 Non-Payment

Failure to pay for purchases (including won auctions) may result in:

  • Account suspension or termination;
  • Collection of amounts owed via your payment method on file;
  • Negative impact on your account standing; and
  • Restrictions on future purchasing.

9. Shipping and Delivery

9.1 Shipping Timeframes

Sellers must ship within 3 business days of purchase, except where a shorter timeframe is specified in the listing terms.

9.2 Shipping Labels

The Platform generates shipping labels for outbound orders and returns. Sellers must use Platform-provided shipping labels. For returns, the Seller initiates the return label from the Seller Dashboard; the label is delivered to the Buyer by email and in-app notification.

9.3 Shipping Scope

Shipping is available only within the United States. International shipping is not available.

9.4 Delivery Issues

  • Damaged in Transit: The Seller is responsible for items damaged in transit. Sellers should file claims with the shipping carrier as needed.
  • Lost in Transit: Items lost in transit are handled on a case-by-case basis by Platform support.

10. Returns and Refunds

10.1 Return Policy

Returns are accepted only for items that are:

  • Not as described;
  • Damaged;
  • Defective;
  • Counterfeit;
  • Expired (past a printed expiration or best-before date, or past a disclosed period-after-opening); or
  • Incomplete (missing parts, components, or accessories that were included as sold).

Returns for buyer's remorse ("changed mind") are not accepted. This Section and our Buyer Protection Policy together describe Buyer return and refund rights; in the event of a conflict, the Buyer Protection Policy controls for protection claims.

10.2 Return Window

The return window is 14 days from delivery, applied platform-wide. For items not received, claims may be submitted within 30 days of purchase.

10.3 Return Condition

Items must be returned in original condition. Items that have been used, altered, or damaged by the Buyer may not be eligible for return or may receive a reduced refund.

10.4 Return Shipping

For returns due to Seller error (wrong item, damaged, not as described, expired, incomplete), the Seller is responsible for return shipping costs.

10.5 Refund Process

Refunds are processed after the returned item is received and inspected by the Seller. The Seller has 2 business days after receiving the return to inspect the item and, if applicable, dispute the return condition. If the Seller does not dispute within 2 business days, the return is accepted automatically. Refunds are then processed within 5–10 business days to your original payment method. Your financial institution may require additional time to post the refund.

11. User Content

11.1 Content Ownership

You retain ownership of Content you post on the Platform. By posting Content, you grant Storefront Live a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and create derivative works from your Content in connection with the Platform and our business.

11.2 Content Standards

All Content must comply with our Community Guidelines. You are solely responsible for your Content and the consequences of posting it.

11.3 Content Moderation and Automated Systems

We reserve the right to review, moderate, and remove Content at our sole discretion. Reviews are moderated for harmful conduct before publication. We use automated systems to help label, prioritize, and route support messages and to detect potential fraud, safety, and policy issues; human staff make routing, response, and enforcement decisions. Our use of automated systems and any automated processing of personal information is described in our Privacy Policy.

11.4 Reporting

You can report content, listings, or users that you believe violate these Terms or our Community Guidelines through the in-app reporting tools or by contacting us at reachout@storefrontlive.com. Copyright complaints are handled under Section 13.2 and our Intellectual Property Policy.

11.5 Livestream Recordings

Livestream recordings are retained and may be used by Storefront Live for quality assurance, training, dispute resolution, and promotional purposes, as described in our Privacy Policy.

12. Prohibited Conduct

You agree not to:

  • Violate any applicable law or regulation;
  • Infringe on the intellectual property rights of others;
  • Post false, misleading, or fraudulent content;
  • Harass, abuse, or threaten other users;
  • Attempt to circumvent Platform fees or conduct transactions outside the Platform;
