Terms and Conditions

1. Introduction and Acceptance
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Storefront Live ("we," "us," or "our") governing your access to and use of the Storefront Live website and services (collectively, the "Platform").
By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable guidelines and policies incorporated herein by reference.
If you do not agree to these Terms, do not access or use the Platform.
2. Definitions
- "Buyer" means a user who purchases products through the Platform.
- "Content" means text, images, videos, comments, messages, reviews, and any other materials posted on the Platform.
- "Listing" means a product offered for sale on the Platform.
- "Platform" means the Storefront Live website, applications, and services.
- "Seller" means a user approved to sell products through the Platform.
3. Eligibility
3.1 Age Requirement
You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old.
3.2 Geographic Restriction
The Platform is available only to users located in the United States with valid U.S. shipping addresses. Sellers must be based in the United States.
3.3 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
4. Account Registration and Security
4.1 Account Creation
To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4.2 Account Types
The Platform supports the following account types:
- Buyer Accounts: For users who purchase products
- Seller Accounts: For approved users who sell products on the Platform
4.3 Seller Approval
Seller accounts require application and approval. Approval is subject to identity verification and review of application materials. We reserve the right to approve or deny any seller application at our sole discretion.
4.4 Account Security
You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss arising from unauthorized use of your account.
4.5 Account Deletion
You may delete your account at any time through your account settings. Account deletion initiates a 90-day soft deletion period, after which your account and associated personal data will be permanently deleted, except as required by law.
5. Platform Services
Storefront Live provides an online marketplace where Sellers can list and sell products to Buyers. We facilitate transactions between Buyers and Sellers but are not a party to the transactions themselves, except where expressly stated.
6. Purchases and Payments
6.1 Buyer Obligations
As a Buyer, you agree to:
- Provide accurate shipping and payment information
- Complete payment for all purchases
- Communicate respectfully with Sellers and other users
- Comply with all Platform guidelines and policies
6.2 Payment Processing
All payments are processed through our third-party payment processor, Stripe. By making a purchase, you agree to Stripe's terms of service and privacy policy.
6.3 Payment Authorization
You authorize us to charge your selected payment method for all purchases, including applicable taxes and shipping costs.
6.4 Taxes and Fees
Applicable sales tax is calculated at checkout. Shipping costs are displayed before you confirm your order.
6.5 Non-Payment
Failure to pay for purchases may result in:
- Account suspension or termination
- Collection of amounts owed via your payment method on file
- Negative impact on your account standing
- Restrictions on future purchasing
7. Seller Terms
7.1 Seller Obligations
As a Seller, you agree to:
- Comply with all applicable laws and regulations
- Provide accurate product descriptions and images
- Fulfill orders within the timeframes specified in our Seller policies
- Respond to buyer inquiries and issues promptly
- Maintain quality standards as required by the Platform
- Follow all Platform guidelines and policies
7.2 Listing Requirements
All listings must include:
- At least one clear photo of the actual product
- Accurate product description
- Size chart (where applicable)
- Accurate pricing and quantity
7.3 Identity Verification
Sellers must complete identity verification before approval to sell on the Platform.
7.4 Seller Performance
Seller performance is monitored based on fulfillment times, customer ratings, response times, and compliance with Platform policies. Continued poor performance may result in warnings, suspension, or termination.
7.5 Seller Payouts
Seller payout terms, including schedule, method, and fees, are provided upon seller approval and governed by separate seller agreements.
8. Prohibited Items
Sellers may not list or sell the following items. This list is not exhaustive; we may remove any item we determine is inappropriate.
- Weapons, firearms, ammunition, and dangerous items
- Drugs, controlled substances, and drug paraphernalia
- Counterfeit products and items that infringe intellectual property rights
- Hazardous materials, toxic chemicals, and recalled products
- Adult and sexually explicit content
- Tobacco, vaping products, and e-liquids
- Alcoholic beverages
- Gambling-related items and equipment
- Stolen property
- Items promoting hate, violence, or discrimination
- Human remains or body parts
- Live animals
- Government-issued identification and official documents
- Items that facilitate illegal activity
9. Returns and Refunds
9.1 Return Policy
Returns are accepted only for items that are:
- Not as described
- Damaged
- Defective
- Counterfeit
Returns for buyer's remorse ("changed mind") are not accepted.
9.2 Return Window
The default return window is 14 days from delivery.
9.3 Return Condition
Items must be returned in original condition. Items that have been used, altered, or damaged by the Buyer may not be eligible for return or may receive a reduced refund.
9.4 Return Shipping
For returns due to Seller error (wrong item, damaged, not as described), the Seller is responsible for return shipping costs.
9.5 Refund Process
Refunds are processed after the returned item is received and inspected. Refunds are issued to your original payment method. Processing times vary.
9.6 Dispute Resolution for Orders
If you experience an issue with an order:
- Contact the Seller directly to attempt resolution
- If unresolved after 48 hours, you may escalate to Storefront Live support
- We will review available information and make a determination
We may assist in resolving disputes between Buyers and Sellers at our discretion.
10. User Content
10.1 Content Ownership
You retain ownership of Content you post on the Platform. By posting Content, you grant Storefront Live a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and create derivative works from your Content in connection with the Platform and our business.
10.2 Content Standards
All Content must comply with our guidelines. You are solely responsible for your Content and the consequences of posting it. Content must be:
- Respectful and professional
- Free of harassment, threats, or abuse
- Free of discriminatory language
- Appropriate for all audiences
- Honest and accurate
10.3 Content Moderation
We reserve the right to review, moderate, and remove Content at our sole discretion. Content may be monitored by automated systems.
10.4 Prohibited Content
The following content is prohibited:
- Threats of violence, harassment, or bullying
- Hate speech or discrimination
- Adult or sexually explicit content
- Content promoting illegal activities
- False or misleading information
- Impersonation of others
- Spam or scam content
- Sharing others' personal information without consent
11. Prohibited Conduct
You agree not to:
- Violate any applicable law or regulation
- Infringe on the intellectual property rights of others
- Post false, misleading, or fraudulent content
- Harass, abuse, or threaten other users
- Attempt to circumvent Platform fees or conduct transactions outside the Platform
- Use the Platform for any unauthorized commercial purpose
- Interfere with or disrupt the Platform or its servers
- Create multiple accounts or use another user's account
- Manipulate reviews, ratings, or other Platform features
- File false or malicious reports against other users
- Engage in fraudulent purchases, sales, or returns
- Attempt to evade bans or restrictions
12. Intellectual Property
12.1 Platform Intellectual Property
The Platform, including its design, features, and content (excluding user Content), is owned by Storefront Live and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our prior written consent.
12.2 Trademark
Storefront Live and our logos are trademarks of Storefront Live. You may not use our trademarks without prior written permission.
12.3 Copyright Complaints
If you believe content on the Platform infringes your copyright or other intellectual property rights, contact us at reachout@storefrontlive.com. We respect intellectual property rights and will review and respond to valid complaints.
12.4 Counterfeit Policy
Storefront Live has zero tolerance for counterfeit products. Selling counterfeit items may result in immediate listing removal, account termination, forfeiture of pending payouts, and potential legal referral.
13. Third-Party Services
The Platform may integrate with or contain links to third-party services. We are not responsible for the content, policies, or practices of third-party services. Your use of third-party services is at your own risk and subject to their respective terms.
14. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Platform will be uninterrupted, secure, or error-free. We do not guarantee the accuracy, completeness, or usefulness of any content on the Platform.
We are not responsible for the quality, safety, legality, or availability of items sold by Sellers, or for Sellers' ability to complete transactions.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Storefront Live AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your use or inability to use the Platform
- Any unauthorized access to or use of our servers
- Any conduct or content of any third party on the Platform
- Any transactions between you and other users
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.
16. Indemnification
You agree to indemnify, defend, and hold harmless Storefront Live and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any rights of another party
- Your Content
17. Dispute Resolution and Arbitration
17.1 Informal Resolution
Before initiating formal dispute resolution, you agree to contact us at reachout@storefrontlive.com to attempt to resolve the dispute informally.
17.2 Binding Arbitration
Any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
17.3 Opt-Out
You may opt out of this arbitration agreement by sending an email notice to reachout@storefrontlive.com within 30 days of creating your account. The notice must include your name, account email, and a clear statement that you wish to opt out of arbitration.
17.4 Class Action Waiver
YOU AND Storefront Live AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
17.5 Exceptions
This arbitration agreement does not apply to claims for injunctive relief or claims within small claims court jurisdiction.
18. Termination
18.1 Termination by You
You may terminate your account at any time through your account settings.
18.2 Termination by Us
We may suspend or terminate your account at any time for violation of these Terms or applicable law. Account termination is effective immediately.
18.3 Effect of Termination
Upon termination:
- Your right to use the Platform ceases immediately
- Outstanding payment obligations and pending transaction responsibilities survive termination
- Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution
19. General Provisions
19.1 Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
19.2 Entire Agreement
These Terms, together with the Privacy Policy and all incorporated guidelines and policies, constitute the entire agreement between you and Storefront Live regarding the Platform.
19.3 Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
19.4 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
19.5 Assignment
You may not assign or transfer these Terms or your rights hereunder. We may assign these Terms without restriction.
19.6 Notices
We may provide notices to you via the Platform, email, or other reasonable means.
20. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before the effective date. Continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.
